This clause means that before you take a competitor deal, you must offer it to <i>this</i> brand first and let them match it. It sounds minor. It's a soft leash on your business.

Why it matters: it slows down every future deal and can scare off competitors who don't want the hassle. You're doing unpaid admin to protect their position.

Example: a rival offers you $1,500. You now have to pause, notify Brand A, and wait for them to decide. The rival may walk before that's done.

Your move: push back lightly — "I'd rather keep exclusivity clean and time-boxed instead." If they insist, cap it tight: 7 days to respond, then you're free.
