SOP #57 — NDA and Information Control
Before the seller shares a single private metric, control the information exchange. Protect both sides.
1. Sign a mutual NDA before diligence. It protects the seller's data and your interest in the deal.
2. Scope it: define 'confidential information' to include URLs, financials, and the existence of the deal itself.
3. Insist on read-only access tokens for analytics, never the seller's master password.
4. Use a shared diligence folder, not scattered email attachments — one source, version-controlled.
5. Agree on a destruction clause: if the deal dies, both parties delete shared data within 14 days.
6. Never reveal the live URL to other buyers or in forums during exclusivity — you can tank the asset you want.
Controlled information is the foundation of every clean deal.
