Liability transfers with the asset. Screen for it before you sign.
— Entity vs. asset sale: confirm you're buying ASSETS, not the company (and its hidden liabilities). PASS = asset purchase agreement.
— FTC/affiliate disclosure: are required disclosures present on money pages? Missing = inherited regulatory risk.
— Privacy policy + cookie/consent: present and accurate for the traffic geos? GDPR/CCPA exposure transfers.
— Trademark conflicts: search the brand name. PASS = clear. FAIL = a cease-and-desist could be waiting.
— Outstanding contracts: ad networks, writers, affiliates — any obligations that survive the sale?
— Niche-specific rules: YMYL, health, finance, gambling claims that could draw enforcement.
PASS = clean or fully indemnified. FAIL = require representations & warranties in the purchase agreement.
