SOP #60 — The Close-Paperwork Checklist

A handshake transfer leaves you exposed. Run this paperwork list before funds release.

1. Asset Purchase Agreement signed by both parties. Fail if you only have an LOI.
2. Asset list as a signed exhibit, matching the handoff manifest exactly. Fail on discrepancies.
3. Seller representations: that they own the assets and there's no pending dispute. Fail if absent.
4. Non-compete clause: seller won't launch a competing site for 12–24 months. Fail if missing in-niche.
5. Allocation of purchase price for tax purposes, agreed in writing. Fail if undefined.
6. Copies of all transfer confirmations attached. Fail if any asset transfer is undocumented.
