SOP 57: Anchored Offer vs. Collaborative Reprice — Negotiation Mode
Two negotiation tactics. Pick by who set the price and how solid your diligence is.
— Use a hard anchored offer (a single firm number, well below ask) when: the listing is overpriced on annualized revenue, you have walk-away alternatives, and the seller is not in a competitive bidding situation. Anchoring low pulls the final price down.
— Use collaborative repricing (agree the framework, then adjust on findings) when: the deal is fairly priced, you want the asset, and your diligence is still surfacing facts. Frame each price cut as a finding ('organic is down 12% in GSC, so the multiple adjusts to X'), not a demand.
— Mode rule: anchoring wins price; collaboration wins deals you actually want to close without the seller walking.
— Always tie every reprice to a documented diligence finding the seller can verify.
Pass criterion: negotiation mode matched to deal heat and your diligence stage, with reprices fact-anchored.
